These Terms of Service ("Terms") govern your access to and use of Fairseq's products, services, and websites (collectively, the "Services"). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

Fairseq provides software development kits ("SDK"), application programming interfaces ("API"), and related tools for generating and verifying temporal ordering proofs for blockchain transactions. Our Services include:

  • Fairseq SDK for proof generation and verification
  • Hosted API services for proof generation
  • Dashboard for managing API keys and viewing usage
  • Documentation and developer resources

3. Account Registration

To access certain features of the Services, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription Plans and Billing

Fairseq offers various subscription plans including free and paid tiers. For paid subscriptions:

  • Fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as expressly stated
  • We may change pricing with 30 days' notice
  • Usage-based charges are billed at the end of each billing period
  • Failed payments may result in service suspension

5. API Usage and Rate Limits

Your use of our API is subject to rate limits based on your subscription tier. You agree not to:

  • Exceed your allocated rate limits or usage quotas
  • Circumvent or attempt to circumvent rate limiting mechanisms
  • Share API keys with unauthorized parties
  • Use the API in a manner that degrades service for other users

6. Intellectual Property

The Services, including all software, documentation, and content, are owned by Fairseq and protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

You retain ownership of any data you submit through the Services. By using our Services, you grant us a license to use, process, and store your data solely to provide and improve the Services.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You may not use the Services to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malicious code or interfere with the Services
  • Attempt to gain unauthorized access to any systems
  • Engage in any activity that could damage or impair the Services

8. Service Level Agreement

For paid subscription tiers, we commit to the following service levels:

  • Professional tier: 99.5% monthly uptime
  • Growth tier: 99.9% monthly uptime
  • Enterprise tier: 99.99% monthly uptime (as specified in your agreement)

Free tier services are provided on an "as available" basis without any uptime guarantees.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

Cryptographic proofs generated by the Services are mathematical verifications of computational ordering. They do not constitute legal advice, financial advice, or guarantees regarding the behavior of any blockchain protocol or third-party system.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAIRSEQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the greater of (a) the amounts you paid to us in the twelve months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Fairseq and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination:

  • Your right to use the Services will immediately cease
  • You remain responsible for any fees incurred before termination
  • We may delete your account data after a reasonable retention period
  • Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting a notice on our website or sending you an email. Your continued use of the Services after such notice constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware.
